Article I
The name of the corporation is St. George Place Civic Association, Inc. (the “Association”).
Article II
The corporation is a non-profit corporation.
Article III
The period of its duration is perpetual.
Article IV
The Association serves residents and property owners in the St. George Place and Lamar Terrace Subdivision areas, promotes civic and social welfare, and works to improve residential quality of life in Houston.
Article V
The Association is a membership corporation. Directors are elected or appointed as provided in the Bylaws.
Article VI
Net earnings may not benefit members or officers except as reasonable compensation for services. Activities are limited to those permitted under Section 501(c)(4) of the Internal Revenue Code.
Article VII
On dissolution, assets are distributed to organizations exempt under Section 501(c)(4) or to government entities.
Article XI
Dissolution requires the written assent of not less than two-thirds of the membership.
Article XII
Amendment of the Articles requires the assent of seventy-five percent of the entire membership.
