Article 1. Name
The organization is the Saint George Place Civic Association, Inc.
Article 2. Boundaries
The membership area is bounded on the north by Westheimer Road and West Alabama Avenue, on the south by Richmond Avenue, on the east by South Rice Avenue, and on the west by Chimney Rock Road.
Article 3. Purpose
To promote the civic and social welfare and well-being of residents and property owners, including security, beautification, recreation and other activities that promote the general welfare of residents.
Article 4. Membership
Type A: record owner who primarily resides at the lot. Type B: persons or entities engaged in a business or commercial enterprise. Type C: resident non-owner or tenant.
Article 5. Admission and Renewal
Admission requires Board approval; Type B members require the affirmative vote of a majority of Directors present and voting.
Article 6. Fees and Dues
The Board may set and change an initiation fee and annual dues.
Article 7. Voting Rights and Proxies
Type A members have four votes each; Type B members one vote each; Type C members are non-voting unless holding valid proxies. Members may vote by written proxy.
Article 8. Officers
President, Vice President(s), Secretary and Treasurer. The President must be a Type A member. The President and Vice President serve one-year terms; the Secretary and Treasurer serve two-year terms. Officers are elected at the October meeting.
Article 9. Board of Directors
Ten directors: the officers plus Directors at Large, with at least five Type A members and no more than two Type B members. Three-year staggered terms. A majority of the Board is a quorum.
Article 10. General Membership Meetings
The Annual Meeting is held in October for elections. Special meetings may be called by the Board or a majority of members. Quorum is ten percent of the total general membership.
Article 11. Committees
Standing committees: Nominating (prepares a slate of candidates) and Bylaws (reviews and recommends amendments). Special committees are established as needed.
Article 12. Procedure
Robert’s Rules of Order, Revised Edition, governs procedures not covered by the Bylaws.
Article 13. Amendments
Amendments must be submitted in writing at the previous meeting and require a two-thirds affirmative vote of members present in person or by proxy.
